1. INTRODUCTION
These Terms of Service (“Terms“) govern your access to and use of the services provided by Xetral Ltd (“Xetral“, “we“, “us“, or “our).
Xetral is a company registered in Nigeria and provides technology-enabled financial and payment-related services through websites, web applications, WhatsApp, the Meta WhatsApp Business Platform, WhatsApp Flows, and other supported channels.
These Terms apply to your use of Xetral’s websites, applications, WhatsApp services, wallet services, payment services, account services, transaction services, and related products and features (collectively, the “Services“).
By registering for, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not use the Services.
2. IMPORTANT INFORMATION ABOUT XETRAL’S SERVICES
Xetral is a technology and financial-services platform.
Depending on the specific product you use, certain financial, payment, banking, account, wallet, transfer, card, or other regulated services may be provided directly by Xetral or through third-party financial institutions, banks, payment service providers, licensed financial institutions, or other regulated partners.
Where a service is provided by a third-party financial institution or regulated partner, that partner’s terms, conditions, disclosures, and policies may also apply.
The specific service available to you may depend on:
- Your location;
- Your identity and account verification;
- Applicable laws and regulations;
- The availability of third-party providers;
- The availability of payment and banking infrastructure;
- Risk and compliance requirements.
3. ELIGIBILITY
To use the Services, you must:
- Be legally capable of entering into a binding agreement;
- Provide accurate and complete information;
- Comply with applicable laws;
- Use the Services only for lawful purposes;
- Complete required verification processes where applicable.
Certain Services may have additional age, identity, geographic, regulatory, or eligibility requirements.
We may refuse to provide or continue providing a Service where required by law, regulation, risk controls, or the requirements of a financial or payment partner.
4. ACCOUNT REGISTRATION
You may be required to create an account to use certain Services.
You agree to provide accurate, current, and complete information, including where applicable:
- Your name;
- Email address;
- Telephone number;
- WhatsApp telephone number;
- Identity information;
- Bank-account information;
- Verification information.
You must update your information when it changes.
You may not:
- Create an account using false information;
- Create an account for another person without authorisation;
- Create multiple accounts to evade restrictions;
- Impersonate another person or organisation;
- Use another person’s identity or verification information.
We may require you to verify your email address, telephone number, identity, bank account, or other information before providing certain Services.
5. ACCOUNT SECURITY
You are responsible for protecting:
- Your password;
- Transaction PIN;
- OTPs and verification codes;
- WhatsApp account;
- Email account;
- Mobile device;
- Other authentication credentials.
You must not share your authentication credentials with anyone.
You must immediately notify us if you believe that:
- Your account has been compromised;
- Your device has been lost or stolen;
- Your password or PIN has been exposed;
- An unauthorised transaction has occurred;
- Someone has accessed your account without permission.
You are responsible for activity conducted through your account where the activity resulted from your failure to protect your authentication information, except where applicable law provides otherwise.
Xetral will not ask you to disclose your confidential transaction PIN or one-time verification code through an unsolicited request.
6. WHATSAPP SERVICES AND WHATSAPP FLOWS
You may access certain Xetral Services through WhatsApp.
To use these Services, you must have access to a compatible WhatsApp account and comply with the applicable terms and policies governing WhatsApp.
Xetral may use:
- WhatsApp messages;
- Interactive messages;
- WhatsApp Flows;
- Verification processes;
- Structured forms;
- Automated systems;
- AI-assisted interactions.
You agree that information submitted through a WhatsApp Flow or other interactive interface may be used to provide the service you request.
You are responsible for ensuring that information you submit through WhatsApp or a WhatsApp Flow is accurate.
WhatsApp and Meta are independent third-party platforms. Xetral does not control the availability, operation, or security of third-party platforms.
The use of WhatsApp may also be subject to Meta’s and WhatsApp’s applicable terms and policies.
7. FINANCIAL AND PAYMENT SERVICES
Depending on the Services available to you, Xetral may enable you to:
- Send money;
- Receive money;
- Fund or use a wallet;
- Withdraw funds;
- Make payments;
- Pay bills;
- Purchase airtime;
- Purchase data;
- Use virtual-account services;
- Connect or verify bank accounts;
- Use payment or financial services provided through third-party partners.
Some Services may be provided by third-party banks, payment providers, financial institutions, or other regulated partners.
A transaction may be delayed, rejected, reversed, suspended, or cancelled where:
- A payment provider rejects the transaction;
- A bank or financial institution rejects the transaction;
- There are insufficient funds;
- The recipient’s information is incorrect;
- Fraud or suspicious activity is detected;
- A transaction violates applicable law;
- A technical or network failure occurs;
- A regulatory or compliance requirement applies.
We do not guarantee that every transaction will be completed immediately or successfully.
8. TRANSACTION AUTHORISATION
You are responsible for reviewing transaction details before confirming a transaction.
Once a transaction has been authorised and submitted, it may not be possible to cancel, reverse, or recover the funds.
You must ensure that:
- The recipient’s details are correct;
- The amount is correct;
- The transaction purpose is lawful;
- You have authority to use the account or funds involved.
If you send money to the wrong recipient because you entered incorrect information, recovery may not be possible.
We may attempt to assist with transaction disputes where possible, but we do not guarantee recovery of funds.
9. FEES AND CHARGES
Certain Services may involve fees, charges, commissions, exchange-rate differences, or other costs.
Applicable charges may be displayed:
- Before a transaction;
- During a transaction;
- In the relevant Service;
- In a transaction confirmation;
- In a separate pricing notice.
You authorise Xetral and/or the relevant payment or financial provider to deduct applicable fees from the relevant transaction, wallet, account, or payment amount where permitted.
Third-party providers may impose additional charges.
You are responsible for reviewing applicable fees before confirming a transaction.
10. THIRD-PARTY FINANCIAL AND PAYMENT PROVIDERS
Xetral may integrate with or rely on third-party providers, including:
- Banks;
- Payment service providers;
- Financial institutions;
- Account-verification providers;
- Identity-verification providers;
- Fraud-prevention providers;
- Telecommunications providers;
- Technology providers.
Third-party providers may have their own terms, fees, privacy policies, service limitations, and eligibility requirements.
Where a third-party provider is responsible for a particular service, that provider may be responsible for the relevant part of the service.
Xetral is not responsible for failures caused solely by a third-party provider, including bank outages, payment-network outages, telecommunications failures, or third-party service interruptions, subject to applicable law.
11. VERIFICATION AND COMPLIANCE
To provide certain Services or comply with legal and regulatory requirements, we may require you to complete verification.
Verification may include:
- Email verification;
- Telephone verification;
- OTP verification;
- BVN verification;
- Bank-account verification;
- Identity verification;
- Other verification required by law or our financial partners.
We may suspend, restrict, or refuse access to Services where:
- Required verification is incomplete;
- Information is inaccurate;
- Information cannot be verified;
- Fraud is suspected;
- Suspicious activity is detected;
- Required by law or regulation;
- Required by a financial or payment partner.
We may be unable to disclose all reasons for certain restrictions where doing so would compromise fraud-prevention, security, investigation, or legal obligations.
12. PROHIBITED USE
You must not use the Services to:
- Commit fraud;
- Launder money;
- Finance terrorism or other unlawful activity;
- Commit or facilitate a crime;
- Process proceeds of crime;
- Impersonate another person;
- Use stolen or unauthorised financial information;
- Circumvent identity or security controls;
- Create false accounts;
- Conduct unauthorised transactions;
- Abuse refunds, reversals, disputes, or payment systems;
- Operate a fraudulent scheme;
- Violate sanctions or applicable restrictions;
- Buy, sell, or facilitate unlawful goods or services;
- Harass, threaten, or abuse other users or our personnel;
- Interfere with the Services;
- Attempt to gain unauthorised access to our systems;
- Introduce malware or malicious code;
- Scrape, reverse engineer, or exploit the Services except where expressly permitted by law;
- Use automation to abuse or overload the Services;
- Use the Services for any unlawful purpose.
We may suspend or terminate accounts involved in prohibited activity.
13. SUSPENSION AND RESTRICTION OF SERVICES
We may suspend, restrict, freeze, or terminate access to all or part of the Services where reasonably necessary to:
- Protect you;
- Protect other users;
- Protect Xetral;
- Prevent fraud;
- Investigate suspicious activity;
- Comply with law;
- Comply with a regulatory requirement;
- Comply with a financial or payment partner;
- Protect the security of our systems;
- Address a breach of these Terms.
Where legally permitted, we may provide notice of a suspension or restriction.
In certain circumstances, we may be unable to provide advance notice.
14. ACCOUNT CLOSURE AND TERMINATION
You may stop using the Services at any time.
You may request account deletion in accordance with our Privacy Policy and applicable deletion procedures.
We may terminate or restrict your account where:
- You breach these Terms;
- You provide false or misleading information;
- You engage in fraud or unlawful activity;
- Your account presents a security or compliance risk;
- We are required to do so by law;
- A relevant financial or payment partner requires it;
- We discontinue the relevant Service.
Termination does not automatically cancel obligations that arose before termination.
Certain transaction, financial, audit, legal, and regulatory records may be retained where required or permitted by law.
15. TRANSACTION DISPUTES AND UNAUTHORISED ACTIVITY
If you believe that a transaction is unauthorised, incorrect, fraudulent, or otherwise problematic, you should contact Xetral as soon as possible.
You may be required to provide:
- Transaction information;
- Account information;
- Relevant evidence;
- Information required to investigate the matter.
We may investigate disputes and may contact relevant financial or payment providers.
The outcome of a dispute may depend on:
- The nature of the transaction;
- The applicable payment network;
- The relevant financial institution;
- The timing of the complaint;
- Available evidence;
- Applicable law and regulatory requirements.
16. AI AND AUTOMATED SERVICES
Some Xetral Services may use automated systems or artificial intelligence to assist with:
- Understanding requests;
- Providing conversational assistance;
- Directing users to Services;
- Providing information;
- Supporting customer service.
Automated responses may contain errors or may not always fully understand your request.
You should not rely solely on an automated response where a transaction, legal obligation, financial decision, or other important action requires verification.
Xetral may use structured workflows, verification systems, and other controls to process certain transactions and account actions.
17. INTELLECTUAL PROPERTY
The Services, including where applicable:
- Software;
- Websites;
- Applications;
- Designs;
- Logos;
- Branding;
- Text;
- Graphics;
- Interfaces;
- Databases;
- Documentation;
- Technology;
are owned by or licensed to Xetral or its licensors and are protected by applicable intellectual-property laws.
You may use the Services only for their intended purpose and in accordance with these Terms.
You may not copy, reproduce, modify, distribute, sell, lease, reverse engineer, or create derivative works from our Services except where expressly permitted by law or by written permission from Xetral.
18. USER CONTENT AND INFORMATION
You retain ownership of information and content that you lawfully provide to us, subject to the rights necessary for us to provide the Services.
You grant Xetral the limited rights necessary to process, store, transmit, display, and use information you provide for:
- Providing the Services;
- Processing transactions;
- Maintaining accounts;
- Providing support;
- Preventing fraud;
- Complying with law;
- Operating and improving the Services.
Our processing of personal data is governed by our Privacy Policy.
19. SERVICE AVAILABILITY
We aim to provide reliable Services but do not guarantee that the Services will:
- Always be available;
- Be uninterrupted;
- Be error-free;
- Be free from delays;
- Be compatible with every device;
- Be available in every location.
The Services may be temporarily unavailable because of:
- Maintenance;
- Upgrades;
- Technical problems;
- Network failures;
- Telecommunications failures;
- Payment-provider outages;
- Bank outages;
- Third-party service interruptions;
- Security incidents;
- Events beyond our reasonable control.
20. DISCLAIMERS
To the maximum extent permitted by applicable law, the Services are provided on an “as available” basis.
We do not guarantee that:
- The Services will meet every individual requirement;
- Every transaction will be completed;
- Every financial service will always be available;
- Information provided through the Services will always be error-free;
- Third-party services will always function;
- The Services will be free from all security risks.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.
21. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Xetral will not be liable for indirect, incidental, special, consequential, or punitive losses arising from your use of the Services.
This may include loss arising from:
- Loss of profits;
- Loss of business;
- Loss of opportunity;
- Loss of data;
- Service interruption;
- Third-party service failure;
- Unauthorised access caused by your failure to protect your credentials;
- Incorrect information entered by you;
- Delays caused by banks, payment providers, telecommunications providers, or other third parties.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
22. INDEMNITY
To the extent permitted by applicable law, you agree to indemnify and hold harmless Xetral and its officers, employees, contractors, service providers, and partners from claims, losses, liabilities, damages, costs, and expenses arising from:
- Your breach of these Terms;
- Your unlawful use of the Services;
- Fraud or misconduct by you;
- Your violation of another person’s rights;
- Information you provide that is false or unauthorised;
- Your violation of applicable law.
This provision does not require you to indemnify Xetral for losses caused by Xetral’s own unlawful conduct or liability that cannot legally be transferred to you.
23. PRIVACY
Our collection and use of personal data is governed by our Privacy Policy.
By using the Services, you acknowledge that personal data may be processed as described in the Privacy Policy.
Our Privacy Policy explains:
- The information we collect;
- How we use personal data;
- How we share information;
- Data retention;
- Data deletion;
- Your data-protection rights;
- WhatsApp and Meta-related processing.
24. ELECTRONIC COMMUNICATIONS
You agree that we may communicate with you electronically through:
- WhatsApp;
- Email;
- SMS;
- In-app notifications;
- Website notifications;
- Other electronic channels.
Electronic communications may include:
- Account information;
- Verification codes;
- Transaction confirmations;
- Security alerts;
- Service notices;
- Legal notices.
You agree that electronic records and communications may satisfy legal requirements for written communication where permitted by applicable law.
25. CHANGES TO THE SERVICES
We may modify, suspend, discontinue, or replace all or part of the Services.
We may add or remove features, change service requirements, or introduce new charges.
Where required by law, we will provide appropriate notice of material changes.
26. CHANGES TO THESE TERMS
We may update these Terms from time to time.
When we make material changes, we may provide notice through the Services, WhatsApp, email, or another appropriate channel.
The updated Terms will include a new “Last Updated” date.
Your continued use of the Services after the updated Terms become effective means that the updated Terms apply to your continued use of the Services, subject to applicable law.
27. GOVERNING LAW
These Terms are governed by the laws of the Federal Republic of Nigeria.
Subject to any mandatory rights or dispute-resolution requirements applicable to you, disputes relating to these Terms or the Services shall be subject to the jurisdiction of the competent courts of Nigeria.
28. SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be modified or removed to the minimum extent necessary.
The remaining provisions shall continue in full force and effect.
29. NO WAIVER
If we do not immediately enforce a provision of these Terms, that does not mean that we waive our right to enforce it later.
30. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any additional terms applicable to a specific Service, constitute the agreement between you and Xetral regarding your use of the Services.
Additional terms may apply to particular products, financial services, promotions, or third-party services.
Where additional terms conflict with these Terms, the specific additional terms may apply to the relevant Service.
